TERMS OF SERVICE

Welcome to GR8REFERRALS LLC, a platform that connects homeowners in homeowners’ associations (HOAs) and condominium associations with vetted local vendors for home services. These Terms of Service ("Terms") govern your access to and use of the GR8REFERRALS LLC website, mobile application, and related services (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1. Eligibility
   You must be at least 18 years old and reside in the United States to use the Platform. By using the Platform, you represent and warrant that you meet these eligibility requirements and have the legal capacity to enter into these Terms.

2. Services Provided
   GR8REFERRALS LLC facilitates connections between homeowners in HOAs and condominium associations ("Users") and third-party vendors ("Vendors") for home services such as repairs, maintenance, or other professional services. The Platform allows Users to refer Vendors, submit reviews, and rate Vendor services. GR8REFERRALS LLC is not a party to any agreement between Users and Vendors and does not provide the services offered by Vendors. The Platform acts solely as a referral service, and all engagements with Vendors are at the User’s own risk.

3. Vendor Referral Incentive Program
   GR8REFERRALS LLC offers a Vendor Referral Incentive Program to encourage Users to refer new vendors to subscribe to the Platform. Details of the program, including eligibility, referral process, and compensation, are available at https://gr8referrals.com/vendor-referral-incentive-program. GR8REFERRALS LLC reserves the right to modify or terminate the Vendor Referral Incentive Program at any time, with or without notice, in accordance with the program’s terms.

4. User Responsibilities
   a. Account Creation: To access certain features of the Platform, such as submitting vendor referrals, reviews, or ratings, or participating in the Vendor Referral Incentive Program, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.
   b. Account Security: You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify GR8REFERRALS LLC immediately of any unauthorized use of your account.
   c. User Content: You are responsible for the content you submit, including vendor referrals, reviews, and ratings. You agree that such content will be accurate, truthful, and not misleading, defamatory, or in violation of any third-party rights.
   d. Prohibited Conduct: You agree not to:
      - Use the Platform for any unlawful purpose or in violation of these Terms.
      - Post or transmit false, misleading, defamatory, or offensive content in referrals, reviews, or ratings.
      - Interfere with or disrupt the Platform’s functionality or security.
      - Use the Platform to solicit or engage in commercial activities unrelated to the Platform’s purpose, including the Vendor Referral Incentive Program, without prior written consent from GR8REFERRALS LLC.

5. Vendor Relationships
   a. Vendor Selection: Vendors listed on the Platform are primarily referred by homeowners within HOAs and condominium associations. To be listed, referred Vendors must subscribe to GR8REFERRALS LLC’s services, subject to terms agreed upon with GR8REFERRALS LLC. GR8REFERRALS LLC may, at its discretion, include Vendors through other methods, such as sponsored listings or partnerships, in the future. GR8REFERRALS LLC does not guarantee the quality, reliability, or suitability of Vendor services, regardless of how Vendors are added to the Platform.
   b. No Endorsement: Inclusion of a Vendor on the Platform, whether through homeowner referral, subscription, or other means, does not constitute an endorsement by GR8REFERRALS LLC. Users are responsible for conducting their own due diligence before engaging a Vendor.
   c. Disputes with Vendors: Any disputes arising from services provided by Vendors are solely between the User and the Vendor. GR8REFERRALS LLC is not liable for any damages, losses, or disputes arising from such engagements.
   d. Revenue Sharing: GR8REFERRALS LLC may, at its discretion, share a portion of the revenue generated from Vendor subscriptions with the management company of an HOA or condominium association and/or the association itself as a benefit for using the Platform. The terms of any revenue-sharing arrangement will be governed by separate agreements between GR8REFERRALS LLC and the relevant parties.

6. Fees and Payments
   a. Platform Fees: GR8REFERRALS LLC may charge fees for certain services, such as premium features, referral commissions, Vendor subscriptions, or sponsored listings, which will be disclosed at the time of use. All fees are non-refundable unless otherwise stated.
   b. Vendor Payments: Payments for Vendor services are handled directly between Users and Vendors. GR8REFERRALS LLC is not responsible for processing or resolving payment disputes.

7. Intellectual Property
   a. Ownership: All content on the Platform, including text, graphics, logos, and software, is the property of GR8REFERRALS LLC or its licensors and is protected by U.S. copyright and trademark laws.
   b. Limited License: GR8REFERRALS LLC grants you a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes, subject to these Terms.
   c. User Content: By submitting content to the Platform (e.g., vendor referrals, reviews, or ratings), you grant GR8REFERRALS LLC a worldwide, royalty-free, perpetual license to use, reproduce, modify, and display such content in connection with the Platform, including for promotional purposes.

8. Privacy
   Your use of the Platform is subject to our Privacy Policy, available at https://gr8referrals.com/privacy-policy. The Privacy Policy describes how we collect, use, and protect your personal information, including data provided in vendor referrals, reviews, ratings, or participation in the Vendor Referral Incentive Program. By using the Platform, you consent to our data practices as outlined in the Privacy Policy.

9. Limitation of Liability
   To the fullest extent permitted by law, GR8REFERRALS LLC, its affiliates, officers, directors, and employees shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use, arising from your use of the Platform, including vendor referrals, reviews, ratings, engagement with Vendors, or participation in the Vendor Referral Incentive Program. GR8REFERRALS LLC’s total liability for any claim arising from these Terms or the Platform shall not exceed the amount paid by you, if any, for accessing the Platform in the preceding twelve (12) months.

10. Disclaimer of Warranties
    The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. GR8REFERRALS LLC does not warrant that the Platform will be uninterrupted, error-free, or secure, nor does it warrant the accuracy or reliability of user-submitted content, such as reviews or ratings, or the availability of incentives under the Vendor Referral Incentive Program.

11. Dispute Resolution
    a. Arbitration: Any dispute arising out of or relating to these Terms, the Platform, or the Vendor Referral Incentive Program shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall take place in Fulton County, Georgia, and be conducted in English.
    b. Waiver of Class Actions: You agree to resolve disputes on an individual basis and waive any right to participate in a class action, class arbitration, or representative action.
